Steps to set up a limited society in Spain

(sociedad limitada)

This is only a basic sketch of what needs to be done. For more information, consult the Web sites provided with each step. You may also request information from English-speaking lawyers in Spain or use a gestor to speed up the process. (A gestor charges less than a lawyer and helps on a more administrative level. They may also provide accounting or tax services.)

 

NOTE: As you progress through the steps, remember to bring the originals and several photocopies of all documents you received in previous steps as well as the original and copies of the partners’ IDs.

 

1) Registro Mercantil Central
Choose three names for your company, in order of preference, and request a certificación negativa de denominación that verifies that the name(s) are not already registered. You can request the certificate by Internet, mail, or in person.

 

2) Delegación de Hacienda/Agencia Tributaria
Apply for a temporary CIF (código de indentificación fiscal; company tax ID) using Modelo 036. You must go to the local tax office that corresponds to the residence of the company director.

 

3) Bank
Open a bank account in the company’s name and deposit at least €3,005.06 (a strange figure in euros, but it was converted from 500,000 pesetas).

 

4) Notary
Prepare and sign the deed of incorporation (escritura de constitución). The notary should give you an original copy of the deed (copia autentica) and at least two copias simples.

 

5) Delegación de Hacienda/Agencia Tributaria
Pay the Impuesto de Transmisiones Patrimoniales y Actos Jurídicos Documentados en la modalidad de Operaciones Societarias – in other words, a transfer tax equal to 1% of the company’s capital, which is the money you deposited in the bank account.

 

6) Registro Mercantil Central
Register the company.

 

7) Delegación de Hacienda/Agencia Tributaria
Formally declare the start of activity for your business and get your permanent CIF using the same form you used to get your temporary CIF: Modelo 036.

 

8) Tesorería General de la Seguridad Social
Register your company and get a Código de Cuenta de Cotización using Modelo TA6. If you do not plan to hire employees (i.e., only the owners will work for the company), you will fill out form TA 0521/B.

 

9) Ministerio de Trabajo y Asuntos Sociales
One of the partners (with at least a 33% share) must register to be autónomo (if they are not already). Only legal residents in Spain can register as autónomo. If you hire a gestor to serve as your administrator or representative, they may already fill the autónomo requirement.

 

10)  Inspección de Trabajo y Seguridad Social
Get a libro de visitas and libro de matrícula (available at specialized bookstores) and have them stamped by the labor inspectors. The libro de matrícula is only necessary for companies that plan to hire employees other than the partners.

 

11) Ayuntamiento (local town hall)
Apply for an opening license.
